Telehealth Informed Consent

Please read this Telehealth Informed Consent carefully before your first virtual consultation. You must review and acknowledge this consent before receiving telehealth services through the Norava Health platform. You may withdraw your consent at any time.

1. Introduction

You are being asked to consent to receive healthcare services via telehealth through the Norava Health platform. Telehealth means the delivery of clinical services using interactive audio, video, or secure electronic messaging when you and your healthcare provider are not in the same physical location.

This consent applies to all telehealth encounters you receive through the Norava Health platform, including virtual wellness and optimization consultations, asynchronous wellness communications, and any other clinical interaction conducted remotely. This consent remains in effect for the duration of your Norava Health enrollment unless you withdraw it in writing.

2. Your Healthcare Provider

2.1 Who Provides Your Care

All telehealth services are provided by licensed physicians and qualified healthcare providers at ContinuEM or New Cadence Healthcare, each a California professional corporation (your “Clinical Provider”). Your physician-patient relationship is with your Clinical Provider, not with Norava Health.

2.2 What Norava Health Does

Norava Corporation, a Delaware corporation doing business as Norava Health, provides the technology platform, scheduling, member support, and administrative services that facilitate your telehealth encounter. Norava Health does not practice medicine, does not make clinical decisions, and is not a party to your physician-patient relationship.

2.3 Your Treating Provider

Before each telehealth encounter, you will be informed of the name, credentials, and license status of the healthcare provider conducting your consultation. You have the right to request this information and to verify your provider’s credentials.

3. What Telehealth Is

3.1 Description

Telehealth uses electronic communications technology to deliver clinical services remotely. Your telehealth encounter may include:

Live video consultations, where you and your provider see and speak with each other in real time through a secure video connection

Telephone consultations, where you and your provider speak by phone when video is not available or not clinically necessary

Asynchronous wellness communications, where you submit a written health question through the Norava Health platform and a licensed clinician responds with a documented assessment

Review and discussion of technology-assisted health insights, including AI-generated biomarker reports and risk scoring, during a live encounter

3.2 Clinical Activities

During a telehealth encounter, your provider may:

Review your biomarker results, laboratory data, and technology-assisted health analysis

Conduct a visual assessment to the extent possible via video

Review your medical and health history

Provide a wellness assessment, health optimization recommendations, or a clinical assessment as appropriate

Recommend an optimization protocol, including nutrition, exercise, and lifestyle factors

Prescribe medications when clinically appropriate and permitted by applicable law

Order laboratory tests, imaging studies, or other diagnostic services from outside providers

Refer you to a specialist, emergency department, or in-person provider

Identify a finding that requires diagnosis or treatment constituting a Covered Service, as described in Section 6

4. Benefits of Telehealth

Telehealth may offer the following benefits:

  • Access to your healthcare provider without traveling to an office
  • Reduced wait times compared to in-person appointments
  • Continuity with your regular provider when an in-person visit is not practical
  • Ability to receive follow-up wellness consultations and health optimization guidance from your home or workplace
  • Efficient review of biomarker results and health data through shared screen and platform access during the encounter

5. Risks and Limitations of Telehealth

You should understand the following risks and limitations before consenting:

5.1 No Physical Examination

Your provider cannot perform a hands-on physical examination during a telehealth encounter. This limitation may affect the ability to assess certain conditions. Your provider may determine that your concern requires an in-person examination and may decline to make an assessment or provide treatment via telehealth.

5.2 Technology Failures

Telehealth depends on technology, including your internet connection, device, and the platform’s systems. Technical difficulties — including poor video or audio quality, dropped connections, or platform outages — may interrupt or prevent your encounter. If a technology failure occurs, your provider will attempt to reconnect or reschedule.

5.3 Privacy Risks

Although the Norava Health platform uses encryption and security measures designed to protect your health information, electronic communications carry inherent risks, including the possibility of unauthorized interception, technical vulnerabilities, or data breaches. These risks are described further in Section 9.

5.4 Limitations on Prescribing

Certain medications, including some controlled substances, may not be prescribed via telehealth under federal or state law. Prescribing limitations vary by state. Your provider will inform you if a prescription cannot be issued through a telehealth encounter and will recommend an alternative, which may include an in-person visit.

5.5 Diagnostic Limitations

The information available to your provider during a telehealth encounter may be less complete than during an in-person visit. This may result in the need for additional testing or a recommendation for in-person follow-up. Your provider will exercise clinical judgment in determining whether telehealth is appropriate for your concern.

5.6 Not for Emergencies

Telehealth is not appropriate for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not attempt to use the Norava Health platform for emergency care. Your Clinical Provider may not be immediately available during an emergency.

5.7 Delayed Response

For asynchronous wellness communications, there may be a delay between when you submit your message and when a clinician responds. Asynchronous messaging is not appropriate for urgent or time-sensitive clinical concerns. If your concern is urgent, seek immediate medical attention.

6. Two Types of Services — Two Billing Pathways

6.1 Non-Covered Services

Your virtual consultation may involve Non-Covered Services — services that do not fall within Medicare’s coverage categories and are not covered by most health insurance plans. Non-Covered Services include wellness consultations, biomarker review for general health optimization, health optimization protocol discussion, and wellness communications. Non-Covered Services are covered by your Norava tier fee. No claims are submitted to Medicare, your health insurance, or any government program for Non-Covered Services.

6.2 Covered Services

If, during a virtual consultation that begins as a Non-Covered Service, your physician identifies a specific medical condition that requires diagnosis, active prescribing for that condition, or ongoing management — services that meet Medicare covered service requirements or are covered by your health insurance plan — those services constitute Covered Services.

6.3 What Happens When a Consultation Crosses Into Covered Services

When your physician determines during a virtual consultation that a service crosses from Non-Covered to Covered:

Your physician will inform you that a finding has been identified that requires diagnosis, treatment, or management constituting a Covered Service.

The Covered Service will be documented as a separate encounter from the Non-Covered wellness consultation.

The Covered Service will be billed to Medicare or your health insurance plan in accordance with applicable claim submission requirements.

You will be responsible for any copayments, coinsurance, or deductibles associated with the Covered Service under your plan.

The Non-Covered Service portion of the consultation remains covered by your tier fee. The two are never bundled into a single fee or a single claim.

6.4 Your Physician Makes the Determination

The determination of whether a service is Non-Covered or Covered is made solely by your treating physician in the exercise of independent clinical judgment, based on Medicare’s coverage rules and applicable law. Norava Health does not influence, direct, or override this determination.

7. Technology-Assisted Health Insights During Telehealth

7.1 AI-Generated Reports

During your telehealth encounter, your provider may review and discuss technology-assisted health insights with you, including AI-generated biomarker reports, risk scores, and health analysis produced through the Norava Health platform. These outputs are generated under physician direction and supervision.

7.2 Not Independent Diagnoses

Technology-assisted health insights are informational tools. They do not constitute a medical diagnosis or replace your physician’s clinical evaluation. Your treating physician reviews all technology-generated outputs and exercises independent clinical judgment.

7.3 Your Questions

You have the right to ask your provider questions about any technology-assisted output shared during your encounter, including how it was generated, what data it is based on, what it means for your health, and what its limitations are.

8. Your Location

8.1 Location Requirement

Telehealth services are available only when you are physically located in a state where your treating provider holds an active medical license. You are required to accurately report your physical location at the time of each telehealth encounter.

8.2 Why It Matters

Your provider’s ability to assess, treat, and prescribe is governed by the laws of the state where you are located at the time of the encounter, not the state where the provider is located. Misrepresenting your location may result in your provider being unable to legally deliver care and may invalidate your encounter.

8.3 Location Verification

The Norava Health platform includes a location verification feature. You will be asked to confirm your physical location before each telehealth encounter begins. If your location cannot be verified or is in a state where your provider is not licensed, the encounter may not proceed.

8.4 Travel

If you travel to a different state between encounters, notify your Clinical Provider. Your regular provider may not be licensed in the state you are visiting, and your care may need to be reassigned or rescheduled.

9. Privacy and Confidentiality

9.1 HIPAA Protection

Your telehealth encounter is a confidential clinical encounter. Your Clinical Provider is a Covered Entity under HIPAA. Norava Health is a Business Associate under HIPAA. Your protected health information transmitted during your telehealth encounter is protected by the same federal and state privacy laws that apply to in-person visits.

9.2 Platform Security

The Norava Health platform uses encryption for data in transit and at rest, access controls, audit logging, and other technical safeguards. However, no electronic communication system is completely secure.

9.3 Your Responsibility

You are responsible for ensuring that your telehealth encounter takes place in a private setting where others cannot overhear or observe your consultation. You should use a personal device and a secure, private internet connection. Norava Health and your Clinical Provider are not responsible for unauthorized disclosures resulting from your failure to secure your environment.

9.4 Recording

Your telehealth encounter will be documented in your medical record consistent with standard practice. Audio or video recordings will not be made without your separate written consent, except as required by law. You agree not to record your encounter without the express consent of your treating provider.

10. Your Rights

You have the following rights regarding telehealth services:

10.1 Right to Refuse

You have the right to refuse telehealth at any time, before or during an encounter. Refusing telehealth will not affect your right to receive in-person services or any other services included in your tier, subject to availability. If you refuse telehealth and in-person services are not available in your area, your Clinical Provider will discuss alternative options with you.

10.2 Right to Withdraw Consent

You may withdraw this consent at any time by notifying your Clinical Provider or Norava Health in writing at info@noravahealth.com. Withdrawal takes effect upon receipt and applies to future encounters only. Withdrawal does not affect the legality or validity of services provided before withdrawal.

10.3 Right to In-Person Care

You have the right to request an in-person consultation instead of a virtual consultation at any time. In-person consultations are subject to availability, geographic service area, and your tier. Your provider may also determine that an in-person visit is clinically required and refer you accordingly.

10.4 Right to a Second Opinion

You have the right to seek a second opinion from another healthcare provider at any time.

10.5 Right to Information

You have the right to know the name, credentials, and license status of any provider delivering care to you via telehealth, and to ask questions about the technology, platform, and security measures used.

10.6 Right to Access Records

You have the right to access the medical records generated during your telehealth encounters, including visit notes, assessments, care plans, and any technology-assisted health insights reviewed. You may request records from your Clinical Provider in accordance with applicable law.

10.7 Right to Understand Billing

You have the right to understand, before or during your encounter, whether a service is a Non-Covered Service (covered by your tier fee) or a Covered Service (billed to Medicare or your health plan). Your physician will inform you when a service crosses into Covered Service territory and explain any cost implications.

11. Emergency Protocols

11.1 Emergencies During a Telehealth Encounter

If you experience a medical emergency during a telehealth encounter, your provider will:

Instruct you to call 911 or go to the nearest emergency room immediately

Remain on the line with you, if possible, until emergency services arrive or you confirm you are en route to emergency care

Provide available clinical information to emergency responders if requested and authorized by you

11.2 Emergency Contact

During enrollment, you will be asked to provide an emergency contact and your physical address. This information enables your Clinical Provider and emergency services to reach you if a medical emergency arises during a telehealth encounter. You agree to keep this information current.

11.3 Limitation

Your Clinical Provider’s ability to assist during a remote emergency is inherently limited. Your provider cannot physically intervene, administer medications, or perform procedures during a telehealth encounter. Calling 911 is always the appropriate first response.

12. Prescribing

12.1 General

Your provider may prescribe medications during or following a telehealth encounter when clinically appropriate and permitted by applicable law. Prescriptions may be transmitted electronically to a pharmacy of your choice.

12.2 Non-Covered vs

Covered Prescribing. Prescriptions arising from Non-Covered Services (such as optimization protocols not tied to a diagnosed condition) are your responsibility at cash-pay pricing and are part of your Norava tier services. Prescriptions arising from Covered Services (treatment of a specific diagnosed condition) constitute Covered Services and may be billed to your health insurance or Medicare through normal channels. Your physician will inform you which pathway applies.

12.3 Controlled Substances

Federal and state laws impose specific requirements on prescribing controlled substances via telehealth, including potential requirements for an initial in-person examination, ongoing monitoring, or limitations on quantity and refills. Your provider will comply with all applicable requirements and will inform you of any limitation.

12.4 State-Specific Limitations

Prescribing rules vary by state. If you are located in a state with prescribing limitations that differ from California, the rules of your state govern. Your provider will inform you of any limitation.

12.5 Pharmacy

You are responsible for designating a pharmacy and for obtaining your prescriptions. Prescription costs are governed by your subscription agreement.

13. Costs

13.1 Non-Covered Services Included in Tier Fee

Virtual wellness and optimization consultations included in your Norava tier are Non-Covered Services covered by your tier fee. There is no additional charge for included Non-Covered Service consultations.

13.2 Covered Services Billed Separately

If your physician determines during a telehealth encounter that a service constitutes a Covered Service, that service will be documented as a separate encounter and billed to Medicare or your health plan. You are responsible for any copayments, coinsurance, or deductibles. Covered Services are never included in your tier fee.

13.3 Outside Services

If your provider orders services during or as a result of a telehealth encounter from outside providers (labs, imaging, specialists), those outside providers may bill your health insurance. Your provider will discuss anticipated outside services with you.

14. State-Specific Disclosures

14.1 California

This consent is provided in accordance with California Business and Professions Code Section 2290.5. Under California law, your healthcare provider must obtain your verbal or written informed consent before providing services via telehealth. This document satisfies that requirement. You have the right to refuse telehealth at any time.

14.2 Other States

If you receive telehealth services while located in a state other than California, additional state-specific disclosures may be required. You will be presented with any required supplemental disclosures through the Norava Health platform before your encounter in that state. Your acknowledgment of supplemental state disclosures is a condition of receiving telehealth services in that state.

15. Duration and Withdrawal

15.1 Duration

This consent is effective as of the date you acknowledge it and remains in effect for the duration of your Norava Health enrollment, unless withdrawn by you or superseded by an updated version.

15.2 Updates

We may update this consent to reflect changes in applicable law, clinical practice, or platform functionality. If we make material changes, you will be notified and asked to review and acknowledge the updated consent before your next encounter.

15.3 Withdrawal

You may withdraw this consent at any time by contacting Norava Health at info@noravahealth.com or by notifying your Clinical Provider in writing. If you withdraw consent, you will no longer be eligible for virtual consultations through the Norava Health platform. Withdrawal does not affect your eligibility for in-person services or other non-telehealth tier benefits, subject to availability.

Acknowledgment

By checking the box or signing below, I acknowledge and confirm that:

  • I have read and understand this Telehealth Informed Consent in its entirety.
  • I understand that telehealth has limitations, including the inability to conduct a physical examination, and that my provider may determine that telehealth is not appropriate for my concern.
  • I understand that my telehealth services are provided by licensed providers at ContinuEM or New Cadence Healthcare, not by Norava Health.
  • I understand that technology-assisted health insights, including AI-generated reports, are informational tools reviewed by my physician and are not independent medical diagnoses.
  • I understand that I must accurately report my physical location at the time of each telehealth encounter, and that telehealth is available only in states where my provider is licensed.
  • I understand that telehealth is not appropriate for medical emergencies, and that I should call 911 or go to the nearest emergency room if I experience a medical emergency.
  • I understand that my virtual consultation may involve both Non-Covered Services (covered by my tier fee) and Covered Services (billed separately to Medicare or my health plan). My physician will inform me when a service crosses into Covered Service territory, and I am responsible for any copayments, coinsurance, or deductibles for Covered Services.
  • I understand that Non-Covered Services and Covered Services are always documented and billed separately, and are never bundled into a single fee.
  • I understand my right to refuse or withdraw consent to telehealth at any time without affecting my right to other services.
  • I have had the opportunity to ask questions about telehealth and this consent, and my questions have been answered to my satisfaction.
  • I voluntarily consent to receive telehealth services through the Norava Health platform as described in this document.
