Norava Health Terms of Use

Welcome to noravahealth.com (the "Site"), operated by Norava ("Norava Health," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Site. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Norava is an umbrella brand. The Site provides general information about Norava and its affiliated brands. Clinical, medical, and membership services described or referenced on the Site are provided by separate, independently operated organizations, including ContinuEM and New Cadence Healthcare. These Terms govern your use of this Site only. Services provided by affiliated brands are subject to those organizations' own terms, notices, and agreements.
1. Eligibility
You must be at least 18 years old and legally capable of forming a binding contract under applicable law to use the Platform or purchase a membership. By using the Platform, you represent and warrant that you meet these requirements.
2. Account Registration
2.1 Account Required
Certain features of the Platform, including membership enrollment, appointment scheduling, lab results, and telehealth visits, require you to create an account. You agree to provide accurate, current, and complete information during registration and to update that information as necessary.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@noravahealth.com if you become aware of any unauthorized use of your account.
2.3 One Account Per Person
Each account is personal to the individual who creates it. You may not share, transfer, or permit another person to use your account.
3. Memberships and Subscriptions
3.1 Membership Plans
The Platform offers membership plans that provide access to specified healthcare services delivered by the Provider Entities. Available plans, pricing, included services, and any limitations are described on the Platform at the time of enrollment.
3.2 Recurring Billing
Memberships are billed on a recurring basis (annually, quarterly, monthly, or as otherwise stated at enrollment). By purchasing a membership, you authorize Norava to charge the payment method on file at the then-current rate on each billing date until you cancel.
3.3 Auto-Renewal
Your membership will automatically renew at the end of each billing period unless you cancel before the renewal date. We will notify you of any price changes before they take effect.
3.4 Cancellation
You may cancel your membership at any time through your account settings or by contacting us at info@noravahealth.com. Cancellation takes effect at the end of the current billing period. You will continue to have access to membership features through the remainder of the period for which you have paid.
3.5 No Mid-Cycle Refunds
Membership fees are non-refundable for partial billing periods. No refunds or credits will be issued for unused portions of a billing cycle.
3.6 Fee-for-Service
Certain services, including but not limited to advanced diagnostics, specialty referrals, and procedures not included in your membership plan, may be subject to additional charges. You will be informed of any additional fees before those services are rendered.
4. Telehealth Services
4.1 Nature of Telehealth
The Platform facilitates telehealth visits, including synchronous video consultations and asynchronous secure messaging, between you and licensed clinicians of the Provider Entities. Telehealth involves the delivery of healthcare services using electronic communications when you and your clinician are not in the same physical location.
4.2 Informed Consent to Telehealth
By using the Platform's telehealth features, you acknowledge and agree that:
- Telehealth is not a substitute for in-person care in all circumstances.
- Your clinician may determine that an in-person visit is required.
- Electronic communications are subject to technical failures, interruptions, and security risks despite reasonable safeguards.
- You have the right to withdraw consent to telehealth at any time without affecting your right to future care.
- You are responsible for ensuring you are in a private, safe location during telehealth visits and for providing accurate information about your physical location.
4.3 Not for Emergencies
If you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately. Do not rely on the Platform for urgent or emergent medical needs.
4.4 Licensing and Location
Telehealth services are available only where the treating clinician is licensed to practice. You are responsible for confirming that telehealth services are available in your location. By using telehealth features, you represent that the location you provide is accurate.
5. AI-Powered Health Insights
5.1 Physician-Supervised Tools
The Platform offers AI-powered features, including biomarker analysis, lab result interpretation, and personalized health insights ("AI Insights"). These features are clinical tools operated by the Provider Entities under physician supervision. AI Insights are generated to assist—not replace—the professional judgment of a licensed clinician.
5.2 Not Independent Medical Advice
AI Insights do not constitute independent medical advice, diagnosis, or treatment recommendations. All AI-generated outputs are reviewed, validated, or made available under the clinical oversight of the Provider Entities' physicians.
5.3 Limitations
AI-powered tools have inherent limitations. Outputs are based on the data available at the time of analysis and may not account for all relevant clinical factors. Norava does not guarantee the accuracy, completeness, or clinical appropriateness of any AI-generated output.
6. No Medical Advice from Norava
Norava is a technology and management services company. No content provided by Norava on the Platform constitutes medical advice, diagnosis, or treatment. General health information, educational content, and marketing materials are for informational purposes only.
7. Use of the Platform
Subject to your compliance with these Terms, Norava grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.
You agree not to:
- Use the Platform in violation of any applicable law or regulation.
- Interfere with the operation, security, or integrity of the Platform.
- Use robots, spiders, scrapers, or automated means to collect data.
- Reverse engineer, decompile, or disassemble the Platform.
- Impersonate another person or entity.
- Transmit unlawful, infringing, defamatory, or objectionable content.
- Circumvent security measures.
- Use the Platform to develop a competing product or service.
8. Intellectual Property
8.1 Ownership
The Platform and its content, including text, graphics, logos, images, software, and design elements, are owned by Norava Corporation or its licensors and are protected by intellectual property laws.
8.2 Restrictions
You may not copy, modify, distribute, sell, lease, or create derivative works from any portion of the Platform without prior written permission.
9. User Submissions and Health Information
9.1 Non-Clinical Submissions
If you submit messages, inquiries, reviews, or other non-clinical content, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, display, and distribute such content.
9.2 Health Information
Health information provided through the Platform is collected and processed by Norava as a service provider to the Provider Entities. The use and disclosure of Protected Health Information (PHI) is governed by the Provider Entities' HIPAA Notices of Privacy Practices.
10. Third-Party Services and Links
The Platform may integrate with or contain links to websites, applications, or services operated by third parties. We do not control or endorse third-party content and assume no responsibility for their services or policies.
11. Disclaimers
THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
NORAVA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
NORAVA DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED CONTENT OR HEALTH INSIGHT.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORAVA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Norava, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.
14. Dispute Resolution and Arbitration
These Terms are governed by the laws of the State of California without regard to conflict of laws principles.
14.1 Class Action Waiver
YOU AND NORAVA EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
14.2 Opt-Out
You may opt out of the arbitration agreement by sending written notice to info@noravahealth.com within thirty (30) days of first accepting these Terms.
14.3 Governing Law and Venue
If arbitration does not apply, disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
16. Termination
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms.
17. Miscellaneous
17.1 Severability
If any provision of these Terms is held invalid, the remaining provisions will remain in effect.
17.2 No Waiver
Failure to enforce any provision does not constitute a waiver.
17.3 Assignment
You may not assign these Terms without our written consent.
17.4 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Norava.
17.5 Electronic Communications
You consent to receiving communications electronically, including by email and notices posted on the Platform.
